These Terms of Use ("Terms") govern your access to and use of the Youdra platform, including 360 reviews, growth insights, career stage plans, and development roadmaps (collectively, the "Services"). By creating an account, joining a review, or using the Services, you agree to these Terms.

If you are using Youdra on behalf of an organization, you represent that you have authority to bind that organization. In that case, "you" refers to the organization and its authorized users.

Accounts and Access

Section 2

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and keep your profile up to date.

  • Do not share your credentials or access tokens with others.
  • Notify us promptly of any suspected unauthorized access.
  • Enterprise administrators may manage user access and settings.

License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business or personal development purposes.

You agree not to:

  • Reverse engineer, scrape, or copy any part of the Services.
  • Upload malware, attempt to disrupt the platform, or bypass security.
  • Misuse review data, scores, or feedback for unlawful purposes.
  • Violate applicable laws, employment policies, or confidentiality rules.

Content, Feedback, and AI

You retain ownership of the content you submit, including self reviews, peer feedback, and plan updates. You grant Youdra a license to use this content to operate the Services, generate insights, and improve the platform.

Youdra may generate summaries and recommendations using AI. These insights are informational and do not constitute legal, HR, or professional advice. You remain responsible for decisions made based on the output.

Privacy and Data Handling

Section 5

Our Privacy Policy explains how we collect, use, and share personal data. When your organization uses Youdra, it may be the data controller and Youdra acts as a data processor. We process data only as instructed by the organization and in line with the Privacy Policy.

If you are invited to a 360 review, your responses may be shared with the review owner, administrators, and aggregated insights as configured by the organization.

Subscriptions and Billing

Section 6

Some features may require a paid subscription or enterprise agreement. If you purchase a plan, you agree to the applicable pricing, billing terms, renewal settings, and taxes. Fees are non-refundable except where required by law or explicitly stated.

Service Availability

Section 7

We strive to keep the Services available and secure, but we do not guarantee uninterrupted access. We may update, suspend, or discontinue features with reasonable notice when practical.

Intellectual Property

The Services, including software, designs, and trademarks, are owned by Youdra and its licensors. Except for the limited license granted above, no rights are transferred to you.

Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Youdra disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Youdra will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Services.

Termination

You may stop using the Services at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms or if required by law.

Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes by posting an updated version and revising the "Last updated" date. Continued use after changes means you accept the updated Terms.
